Terms and Conditions

Welcome to Laylah. These Terms and Conditions ("Terms") govern your use of the Laylah platform ("Platform"), operated by Asas Search Commerce Limited Company (CRN: 7033481131) ("Company", "we", "us", or "our"). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Platform immediately.

Part 1: General Terms Applicable to All Users

1. 1. Platform Role

  • Laylah is an online marketplace that connects individuals seeking event services ("Clients") with independent venue owners and service providers ("Providers").
  • Laylah is not the employer, partner, or representative of Providers, and Providers are independent contractors.
  • Laylah is not a party to any direct contract between Clients and Providers, except as an escrow/payment facilitator for service payments.

2. 2. Eligibility & Account Registration

You must be at least 18 years old to use the Platform.

  • You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

3. 3. User Conduct

You agree not to:

  • Use the Platform for illegal purposes or activities that violate Saudi laws (including but not limited to the Anti-Cyber Crime Law).
  • Post false, misleading, defamatory, or infringing content.
  • Attempt to bypass the Platform’s booking, deposit, or escrow systems.
  • Engage in harassment, abusive behavior, or actions that may harm other users or the reputation of Laylah.

4. 4. Content Rights

By uploading content (e.g., photos, reviews, listings), you grant Laylah a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, and distribute such content for operational, marketing, and promotional purposes.

  • You represent that you own or have the right to share such content, and you will indemnify Laylah against any third-party claims.

5. 5. Privacy

Your use of the Platform is governed by our Privacy Policy, which complies with the Saudi Personal Data Protection Law (PDPL).

  • By using the Platform, you consent to the collection, storage, and processing of your personal data in accordance with applicable law.

6. 6. Limitation of Liability

Laylah acts solely as a technology platform and payment intermediary. We are not responsible for:

  • The quality, safety, or legality of venues or services.
  • Payment disputes between Clients and Providers (outside of the initial venue deposit or service escrow).
  • Damages, losses, personal injury, or property damage resulting from services or venues.

7. 7. Indemnification

You agree to indemnify and hold harmless Laylah, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of your:

  • Use of the Platform,
  • Breach of these Terms, or
  • Violation of any applicable law.

8. 8. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia.

  • Any disputes shall be resolved exclusively in the competent courts of Riyadh, Saudi Arabia.
  • Before litigation, parties agree to attempt good-faith mediation.
  • Laylah does not guarantee the availability, quality, safety, legality, or suitability of any venue, service, or Provider.

Part 2: Terms for Clients

1. 1. Booking & Payments

All payments are processed through a secure third-party payment gateway, and by paying you agree to their terms.

  • Venues: A booking is secured by paying a deposit via the Platform. The remaining balance must be paid directly to the Venue Owner under the booking contract.
  • Services: Full payment is required upfront via the Platform. Payments are held in escrow and released to Providers after service completion.

2. 2. Cancellations & Refunds

  • Venue Bookings: All deposits paid through Laylah for venue bookings are strictly non-refundable, regardless of cancellation reason.
  • Service Bookings: If the Provider cancels, the Client will receive a full refund, including platform fees. If the Client cancels more than 72 hours before the event, the service amount will be refunded, but platform fees are non-refundable. Cancellations are not permitted within 72 hours of the event.

3. 3. Client Responsibilities

  • You must comply with venue and provider rules.
  • You are responsible for your guests’ conduct and any damages caused.
  • Misuse of a venue or service may result in termination of your booking and forfeiture of deposits.

Part 3: Terms for Venue Owners

1. 1. Listing & Compliance

  • You are responsible for accurate listings (photos, descriptions, capacity, pricing, availability).
  • You confirm that you hold all required licenses and permits (e.g., Municipal License, Civil Defense Certificate).

2. 2. Booking Management

The initial booking and deposit must go through Laylah. Subsequent communication and final payment collection can be managed directly between you and the Client. Direct circumvention of Laylah’s booking process is strictly prohibited and may result in permanent suspension.

3. 3. Payments & Fees

Laylah collects deposits on your behalf and reserves the right to deduct a service fee from this amount in the future. The remaining balance is collected directly by you from Clients as per the booking contract. The client is responsible for paying any VAT associated with the booking directly to you, if applicable. Payouts: You may request a payout from your Laylah wallet to your registered bank account up to three (3) times per calendar month. Payouts are processed within 3-5 business days.

4. 4. Responsibilities

  • You must honor confirmed bookings.
  • Venues must be safe, clean, and match the description provided.
  • You are solely responsible for compliance with Saudi labor, safety, and tax regulations, including the collection and remittance of VAT on your services if you are registered.

Part 4: Terms for Service Providers

1. 1. Listing & Compliance

  • You must ensure that your listings (packages, pricing, areas, portfolio) are accurate and updated.
  • You confirm legal compliance (Commercial Registration or Freelancer Certificate).

2. 2. Booking & Escrow

  • Full payment from Clients is collected and held in escrow by Laylah.
  • Funds are released to your Wallet 48 hours after service completion confirmation or automatically 48 hours after the event date if no dispute is raised.

3. 3. Payments & Fees

  • Laylah reserves the right to deduct a service fee before crediting funds to your Wallet.
  • Wallet payouts to bank accounts are processed within 3–5 business days.
  • You must provide accurate bank details, and Laylah is not liable for incorrect transfers.

4. 4. Cancellations

  • You are expected to honor all bookings.
  • In case of unavoidable cancellation, Clients receive a full refund.
  • Repeated cancellations may result in account suspension.

Part 5: Miscellaneous

1. 1. Severability

If any provision of these Terms is invalid, the remaining provisions remain enforceable.

    2. 2. No Waiver

    Laylah’s failure to enforce any right does not constitute a waiver.

      3. 3. Updates

      Laylah reserves the right to modify these Terms at any time. We will notify you of any significant changes by posting the new Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

        4. 4. Third-Party Services

        This site is protected by reCAPTCHA, and Google’s Privacy Policy and Terms of Service apply.
